Copperstone completes a directed issue of shares and receiving proceeds of SEK 96 million

The board of directors of Copperstone Resources AB (publ) (“Copperstone” or “the Company”) resolved on a directed issue of up to 128,255,140 shares (the “Directed Issue”) on 9 April 2021 to a subscription price of SEK 0.75 per share. Through the Directed Issue, the Company receives proceeds of approximately SEK 96 million before transaction costs of approximately SEK 1.5 million. RoosGruppen AB has subscribed for SEK 25 million in the Directed Issue.

The board of directors of Copperstone has, based on the authorisation which was obtained at the extraordinary general meeting on 29 September 2020, resolved on a directed issue with deviation from the existing shareholders’ preferential rights of up to 128,255,140 shares to a subscription price of SEK 0.75 per share (the “Directed Issue”). The Company will thereby receive proceeds of approximately SEK 96 million before transaction costs of approximately SEK 1.5 million. The subscription price in the Directed Issue amounted to SEK 0.75 per share, corresponding to a discount of approximately 9.6 per cent in relation to the volume weighted average price on Nasdaq First North Growth Market during the last 20 trading days up to and including 9 April 2021. The subscription price was determined after negotiations with several professional investors.

Jörgen Olsson, Chairman of the board of directors, comments:
“The increased interest in Copperstone and in the reopening of the Viscaria mine among well-known investors is important for future financing and means that we can now accelerate the project further. We see increased potential from previously completed mining in the area and intend to explore possible values of, for example, sand reservoirs and landfills further.”

Received proceeds from the Directed Issue together with existing cash is intended to be used to the following:

  • Accelerate the environmental studies in order to implement a timely hand-in of the permit application.
  • Continued evaluation of potential values in tailings and waste rock facilities from historical mining, both of which potentially could generate an early cash flow to the operations.
  • Examination of the current condition of underground infrastructure; roads, tunnels and potential for an early usage prior to or at mine re-opening.

The board of directors assesses that the subscription price in the Directed Issue fairly reflects the current market conditions and demands. Furthermore, the board of directors has resolved to deviate from the shareholders’ preferential rights mainly in order to in a time and cost-effective manner procure capital and diversify the ownership base.

RoosGruppen AB has subscribed for SEK 25 million in the Directed Issue. In addition, a number of professional investors, which have requested additional allocation in addition to the preferential rights issue in January 2021, have also subscribed for a total amount of SEK 40 million. In addition to the aforementioned group of investors, a few investors that did not notify their interest in the preferential rights issue in January 2021, have also subscribed for shares of the same order of size as the aforementioned category, amounting to SEK 20 million. The existing shareholder JOHECO AB, a closely associated company to the Chairman of the board Jörgen Olsson, has notified interest and after a decision from the board of directors received allocation based on the same conditions as other allocation in the Directed Issue. JOHECO AB invests SEK 10 million in the Directed Issue.

The Directed Issue entails that the number of outstanding shares in Copperstone increases from 982,513,554 shares to 1,110,768,694 shares. The Company’s share capital increases from SEK 98,251,355.40 to SEK 111,076,869.4. The Directed Issue entails a dilution of approximately 11.5 per cent in relation to the total amount of outstanding shares and votes in the Company after the Directed Issue.
